Terms and Conditions
Last updated: 18 October 2026
Draft for legal review. This is a working draft prepared for internal review. It does not constitute legal advice. Before publishing, this document must be reviewed by a Portuguese-qualified lawyer for compliance with the Portuguese Civil Code, Decree-Law 7/2004 (e-commerce), Law 41/2004 (e-privacy), Law 58/2019 (national GDPR implementation), and applicable consumer-protection rules.
These Terms and Conditions ("Terms") govern your access to and use of the Architech platform ("Service") operated by [Legal Entity Name], a company registered in Portugal under NIPC [NIPC number], with registered office at [address] ("Architech", "we", "us", "our"). By creating an account or otherwise using the Service, you accept these Terms.
1. Definitions
- User — any natural person who accesses or uses the Service through an account.
- Company — the legal entity (architectural office, independent professional, or other organisation) on whose behalf an Account is created.
- Account — the credentials and profile that authenticate a User to the Service.
- Plan — a subscription tier (FREE, CORE or PROFESSIONAL) that determines feature access and resource limits.
- Content — any data, files, text, images, drawings, models, or other materials uploaded, stored, or transmitted through the Service.
- Client — a natural or legal person designated by a Company as a recipient of Project deliverables, who may receive a separate account to access the client web portal.
2. Acceptance and Eligibility
You may use the Service only if you are at least 18 years old and have the legal capacity to enter into a binding contract. By accepting these Terms, you represent that the registration information you provide is accurate, current, and complete, including any tax identification number (NIF/NIPC) required for billing.
If you accept these Terms on behalf of a Company, you represent that you have authority to bind that Company.
3. The Service
Architech is a multi-tenant software-as-a-service platform for architectural project management. It includes, without limitation:
- Project lifecycle management with configurable stages and review cycles.
- Storage and management of project files, including architectural drawings and BIM models.
- Client and employee records.
- Calendar and event scheduling.
- Statistics and reporting.
- A separate web portal through which Clients may review and approve deliverables.
We may add, modify, or remove features at any time, provided that material reductions in functionality affecting paid Plans are communicated in advance.
4. Account Types and Roles
Within each Company, the Service supports the following roles: ADMIN (company owner), OFFICE, INDEPENDENT, and EMPLOYEE. ADMIN holds primary control over Account configuration, billing, and permissions. EMPLOYEE accounts may be created by ADMIN, including via short-lived link codes.
Clients receive their accounts when an ADMIN provisions access to the client web portal. Clients may receive their initial credentials by email and may reset their password through the same channel.
5. Multi-Tenancy and Data Ownership
Each Company occupies a separate logical tenant within the Service. Content uploaded by a Company belongs to that Company and is not accessible to other Companies. With respect to Content the Company uploads about its own employees, clients, and projects, the Company is the data controller and Architech acts as a data processor. See our Privacy Policy for further information.
6. Subscription Plans and Pricing
The Service is offered under three Plans:
- FREE — one user; up to 3 projects in total (concluded ones count; deleted ones don't); 3 GB storage (hard limit); basic features. No charge.
- CORE — billed per seat; 25 GB of storage per seat; basic features.
- PROFESSIONAL — billed per seat; 100 GB of storage per seat; full features including multiple locations, audit logs and analytics exports.
A seat is the ADMIN (company owner) or an active team member registered in the Company's workspace. Paid Plans are billed in EUR on a monthly or annual cycle, in advance, through Stripe. Seats are reconciled automatically. A seat added mid-cycle is charged for the rest of the cycle; on annual Plans this is charged on a monthly payment. A seat that becomes free stays paid, and can be reused, until it is released without credit in the 3 days before the next renewal. New Companies on a paid Plan receive a 14-day trial.
Storage is shared by the whole Company. When it is full, uploads stop until space is freed or more storage is added; stored files remain available, and storage is never billed per GB. On CORE and PROFESSIONAL, extra storage is sold in packages of 50 GB at €4.50 per month, or €54 per year on annual Plans (or such other amount as published in the Service and notified in advance). Only the ADMIN (company owner) can buy them, in the billing area of the Service. Packages added are charged for the rest of the current billing period and are available once paid; packages removed remain until the next renewal, without credit. Packages end with the subscription.
No VAT (IVA) is charged: Architech is exempt under the special scheme in Article 53 of the Portuguese VAT Code (CIVA). If that exemption ends, IVA will be added at the legal rate, with prior notice.
7. Billing, Invoicing, and Taxes
Payments are processed by Stripe. By providing payment-method information you authorise Architech and Stripe to charge the recurring subscription fee, any extra storage packages and any taxes that apply. Invoices are issued by certified invoicing software, to the NIF/NIPC given in the Company's billing details.
You are responsible for keeping your billing information current. Failed payments may result in service suspension as set out in Section 8.
8. Late Payment and Service Suspension
If a payment fails, the subscription enters a "past due" state. We will attempt to recover the payment for up to 30 days. If payment is not received within that period, the Account will be marked as "blocked" and access to the Service will be suspended until the outstanding amount is paid through the in-product debt-resolution flow. Read-only access to billing-history data may remain available so that the User can resolve the debt.
While an amount is outstanding, a new Plan cannot be started and the Account cannot move to FREE until it is paid. The subscription can still be cancelled: cancelling stops future charges, but not what is already owed.
9. Plan Changes
You may change your Plan at any time through the billing area of the Service. A move to a lower Plan, or from annual to monthly billing, takes effect at the next renewal; until then the current Plan stays in place, and no credit is given. Any other change takes effect immediately. A higher Plan is charged for the rest of the current billing period, and the renewal date stays the same. A move to annual billing starts a new annual period that day, and the unused part of the current period is credited. While a trial is running, nothing has been charged yet, so a change of Plan takes effect immediately. Downgrades are subject to the resource limits of the new Plan. Storage above the new Plan's limit is kept, but uploads stop until there is room.
10. Cancellation and Refunds
You may cancel your subscription at any time. Upon cancellation, your subscription remains active until the end of the period already paid, after which the Service will no longer be available except as needed to allow data export under Section 19.
Except where mandatory consumer law requires otherwise, paid fees are non-refundable. Where the User qualifies as a consumer under Portuguese or EU law and exercises a statutory right of withdrawal, refunds will be issued in accordance with that law; however, by requesting immediate access to the Service the User acknowledges that the right of withdrawal may be reduced or extinguished to the extent the Service has been used during the withdrawal period.
11. Acceptable Use
You agree not to:
- Upload or transmit Content that infringes the intellectual-property rights, privacy rights, or other rights of any third party.
- Upload malware or attempt to introduce harmful code into the Service.
- Impersonate any person or misrepresent your affiliation with any person or entity.
- Use automated means to scrape, copy, or extract data, except through documented Service APIs and within their published rate limits.
- Reverse engineer, decompile, or disassemble the Service except where permitted by mandatory law.
- Use the client web portal for purposes beyond reviewing and approving deliverables.
- Resell, rent, or sublicense access to the Service to third parties without our written consent.
12. User Content
You retain ownership of all Content you upload. You grant Architech a non-exclusive, worldwide, royalty-free licence to host, store, transmit, copy, back up, and display the Content solely to the extent necessary to operate, maintain, and provide the Service to you and the other Users you authorise.
You are responsible for ensuring you have the right to upload the Content and for the lawfulness of its content.
13. Intellectual Property of the Service
The Service, including the software, user interface, branding, and documentation, is owned by Architech or its licensors and is protected by copyright, trademark, and other laws. These Terms do not transfer any intellectual-property rights in the Service to you. Architech grants you a limited, non-exclusive, non-transferable right to use the Service for the duration of your subscription and in accordance with these Terms.
14. Third-Party Services
The Service relies on third-party providers, including Google (Firebase Authentication), Stripe (payments), DigitalOcean (hosting and Spaces file storage), an SMTP provider (transactional email), and Grafana Cloud (observability). Your use of features that depend on those providers may be subject to their own terms. A current list of sub-processors is available in the Privacy Policy.
15. Client Web Portal
A separate web portal is provided to Clients of subscribed Companies for the purpose of reviewing and approving deliverables. Clients receive their initial credentials by email when provisioned by an ADMIN. Use of the web portal is governed by these Terms.
16. Service Availability
We aim to make the Service available on a continuous basis and apply commercially reasonable efforts to maintain uptime. The Service may be unavailable from time to time due to maintenance, upgrades, or events beyond our reasonable control. No service-level agreement applies except where separately agreed in writing.
17. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with notice where reasonably practicable, if (a) you breach these Terms in a material way and do not cure the breach within a reasonable period after written notice, (b) payment is not received in line with Section 8, or (c) we are required to do so by law or by the order of a competent authority. You may terminate the subscription at any time as set out in Section 10.
18. Effects of Termination
Upon termination, your right to access the Service ends. We will retain your data for an export window of 30 days following termination, during which the ADMIN may request export. After that period your tenant data will be deleted from active systems, subject to (i) backups, which are rotated according to our retention schedule, and (ii) data we are required by law to retain (in particular, invoice and accounting records, retained for 10 years under Portuguese tax law).
19. Data Export
During the term of the subscription and during the post-termination export window described in Section 18, the ADMIN may request export of the Company's tenant data in a commonly used machine-readable format by contacting [contact email]. We will respond within a reasonable period, which will not exceed 30 days unless extended for a justified reason notified to you.
20. Limitation of Liability
To the fullest extent permitted by law, Architech's total aggregate liability arising out of or in connection with the Service or these Terms is limited to the fees paid by you for the Service in the 12 months preceding the event giving rise to the liability. Architech is not liable for indirect, consequential, or special damages, lost profits, lost data (beyond what would have been recoverable from the most recent backup), or business interruption.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under mandatory law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Portuguese or EU consumer law.
21. Indemnity
You agree to indemnify and hold Architech harmless from claims, losses, and reasonable legal fees arising from (a) Content you upload in violation of these Terms, (b) your unlawful use of the Service, or (c) your breach of any representation or warranty in these Terms.
22. Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Architech disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Architech does not warrant the accuracy, completeness, or fitness for any specific purpose of architectural data produced by or stored within the Service.
The above does not limit any rights you have as a consumer under mandatory Portuguese or EU consumer law.
23. Force Majeure
Architech is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, strikes, pandemics, regulatory action, or failures of telecommunications or hosting providers.
24. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to ADMIN by email and through the Service at least 30 days before they take effect. Your continued use of the Service after that period constitutes acceptance of the updated Terms. If you do not accept the changes, you may cancel the subscription as set out in Section 10.
25. Governing Law and Jurisdiction
These Terms are governed by Portuguese law. The courts of [Lisbon] have non-exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service. Where you are a consumer, your statutory right to bring proceedings in your place of residence is preserved.
26. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Failure by Architech to enforce any provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without our prior written consent. Architech may assign its rights and obligations to an affiliate or to a successor in connection with a merger, reorganisation, or sale of business, provided your rights under these Terms are preserved. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Architech regarding the Service.
